Terms of Service

1. Acceptance of Terms

By accessing or using Spaces Companion ("the Service", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

We may update these Terms at any time. Continued use of the Service after changes are posted constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years old to use Spaces Companion. If you are under 18, you represent that you have your parent or guardian's permission. You may not use the Service if you have previously been banned from it or if applicable law prohibits you.

3. Accounts

X (Twitter) Accounts. Spaces Companion authenticates via X OAuth. Your X user ID becomes your permanent identifier. We do not store your X password.

Guest Access. You may join rooms as a guest. Guest sessions are temporary with no persistent profile, karma, or leaderboard history.

Account Security. You are responsible for maintaining your X account security. Notify us at info@spacescompanion.com if you suspect unauthorized access.

One Account Per Person. Operating multiple accounts to manipulate karma, leaderboards, or games will result in account termination.

4. User Content and Conduct

You retain ownership of content you post in chat. By posting, you grant us a limited, non-exclusive, royalty-free license to display and transmit that content within the Service.

Prohibited Content. You may not post content that:

• Is hateful, harassing, threatening, or discriminatory
• Is sexually explicit involving minors (CSAM) — reported to NCMEC without exception
• Infringes on any third party's intellectual property or privacy rights
• Contains malware, phishing links, or attempts to compromise other users
• Constitutes spam or impersonation
• Violates any applicable law or regulation

Room hosts are responsible for ensuring their room complies with these Terms.

5. Karma Economy

Karma points are an in-app engagement metric only. Karma has no monetary value and cannot be converted to cash, cryptocurrency, or any real-world asset under any circumstances. We reserve the right to adjust, reset, or remove karma at any time.

6. Tipping and Payments

When enabled, in-app tipping uses Stripe for payment processing. Tips are real USD transactions subject to Stripe's Terms of Service. All payments are final. We do not offer refunds except as required by law.

7. AI Co-Host Feature

The AI Co-Host uses AI to generate suggestions, trivia questions, and room activity ideas for hosts. AI-generated content is for entertainment only and does not constitute professional advice of any kind. See our AI Disclosure for full details.

8. Music and Third-Party Content

We facilitate synchronized playback of music hosted on third-party platforms (YouTube, etc.). We do not host or distribute music files. Users are responsible for ensuring they have the right to share content in their rooms. We comply with the DMCA. For copyright notices, email info@spacescompanion.com.

9. X (Twitter) Integration

We access only the permissions you grant during OAuth. We do not post to X on your behalf without explicit in-app action by you. See our X Integration Disclosure for full details.

10. Intellectual Property

Spaces Companion, its name, logos, design, and software (excluding user-generated content) are owned by us or licensed to us. You may not copy, modify, distribute, or create derivative works without written permission.

11. Termination

We may suspend or terminate your access at any time, with or without notice, for violating these Terms or for any other reason at our discretion. Termination does not entitle you to a refund of any amounts paid.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOU USE THE SERVICE AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPACES COMPANION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $50 USD OR (B) THE AMOUNT YOU PAID TO US IN THE PAST SIX MONTHS.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of New York. Disputes shall be resolved through binding arbitration under the American Arbitration Association's rules, except either party may seek injunctive relief in court for IP violations.
